StoneLedger Terms of Service

These Terms of Service (“Terms”) govern your access to and use of StoneLedger, a service provided by Stone Ledger Financial LLC (“Stone Ledger Financial LLC,” “StoneLedger,” “we,” “us,” or “our”).

By creating an account, accessing, or using StoneLedger, you agree to these Terms. If you do not agree, do not use the Service.

These Terms apply to all users of StoneLedger, including renters, landlords, property owners, property managers, and maintenance users.

1. Description of the Service

StoneLedger provides software that may allow users to:

• Facilitate and track rent payments.
• View rent-payment history and payment-related information.
• Track payment reliability or similar informational metrics.
• Track progress toward personal savings or homeownership goals.
• Manage properties and tenant information.
• Submit and manage maintenance requests.
• Communicate with other users associated with a property.
• Access additional property-management and financial tools that we may introduce from time to time.

StoneLedger is a technology platform and software intermediary.

Unless expressly stated otherwise, StoneLedger is not a bank, lender, credit bureau, consumer reporting agency, real estate broker, property manager, escrow agent, or payment processor.

Payment processing and certain financial services are provided by third-party providers such as Stripe, Inc. and its banking or financial partners.

StoneLedger does not itself provide legal, tax, investment, lending, mortgage, or financial advice.

2. StoneLedger Is Not a Party to the Landlord-Tenant Relationship

StoneLedger provides technology that landlords, renters, property managers, and other users may use in connection with rental properties.

StoneLedger is not a party to any lease, rental agreement, maintenance agreement, or other agreement between users unless Stone Ledger Financial LLC expressly enters into such an agreement in writing.

StoneLedger does not determine or guarantee:

• Whether rent or other amounts are legally owed.
• Whether a late fee, security deposit, charge, notice, or lease provision is valid or enforceable.
• Whether either party has complied with a lease.
• Whether a renter may be evicted.
• Whether a landlord has satisfied maintenance or habitability obligations.
• Whether any landlord, renter, property manager, or maintenance provider has complied with applicable law.

Disputes relating to leases, rent amounts, property conditions, deposits, repairs, notices, or other landlord-tenant matters are disputes between the applicable parties.

StoneLedger does not provide legal advice or adjudicate landlord-tenant disputes.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use StoneLedger.

By creating an account, you represent that:

• You satisfy these eligibility requirements.
• Information you provide is accurate.
• You have authority to provide information relating to any property, lease, payment method, or account you connect to the Service.

4. Account Registration and Security

You agree to provide accurate, current, and complete information when creating and maintaining your account.

You are responsible for:

• Protecting your login credentials.
• Maintaining control over devices used to access your account.
• Promptly notifying us if you believe your account has been accessed without authorization.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

5. Property, Lease, and User-Submitted Information

StoneLedger may display information supplied by landlords, renters, maintenance personnel, property managers, or other users.

Users are responsible for ensuring that information they submit is accurate and that they have the legal right to provide it.

StoneLedger does not independently verify every:

• Lease term.
• Rent amount.
• Property detail.
• Maintenance obligation.
• Late fee.
• Security deposit.
• Payment record.
• Communication.
• Property condition.
• Other statement supplied by users.

Nothing displayed through StoneLedger modifies a lease or other legally binding agreement unless the applicable parties separately agree to that modification.

If information displayed through StoneLedger conflicts with a legally binding lease or other agreement, the applicable agreement controls.

6. Rent Payments and Payment Processing

StoneLedger may allow renters to initiate rent or other property-related payments.

Payments are processed through third-party payment providers, including Stripe.

By initiating a payment, you authorize StoneLedger, Stripe, and applicable financial institutions to process the transaction using the payment method you select.

For bank-account or ACH payments, you may also be required to provide a separate authorization or mandate during checkout. Any authorization presented during the payment process forms part of your payment instructions.

You are responsible for ensuring that:

• Payment information is accurate.
• You are authorized to use the selected payment method.
• Sufficient funds are available.
• The payment amount and intended recipient are correct before authorization.

Transactions may be delayed, rejected, returned, reversed, disputed, or otherwise affected by banks, payment processors, financial networks, fraud-prevention systems, or circumstances outside StoneLedger's reasonable control.

StoneLedger does not guarantee that a payment will settle by a particular date.

Users remain responsible for complying with their lease or other payment obligations regardless of any delay or failure involving the Service, except to the extent applicable law provides otherwise.

7. Fees

Some StoneLedger features may be offered without charge, while other features or transactions may include fees.

Any fee charged by StoneLedger in connection with a transaction will be disclosed before you authorize that transaction.

Third-party payment providers or financial institutions may impose additional fees governed by their own terms.

StoneLedger may introduce or modify fees in the future. Where required, we will provide reasonable advance notice of material changes to recurring fees or subscription pricing.

A fee change will not retroactively alter a transaction that you already authorized.

8. Payment History and Reliability Information

StoneLedger may calculate, record, or display information relating to payment history, payment consistency, reliability, or similar metrics.

Unless expressly stated otherwise, these features are provided for informational purposes only.

A StoneLedger reliability indicator or payment-history feature:

• Is not a credit score.
• Is not a consumer report.
• Is not a guarantee of future payment.
• Is not a lending decision.
• Is not a mortgage qualification.
• Is not a recommendation concerning whether housing, credit, or another benefit should be provided to a person.

StoneLedger may modify or discontinue these features as the Service evolves.

StoneLedger will provide additional disclosures and terms before introducing services involving consumer credit reporting or other regulated reporting activities, if applicable.

9. Savings and Homeownership Tools

StoneLedger may provide tools allowing users to create savings goals, estimate down-payment progress, or view information related to homeownership.

These tools are provided for informational and educational purposes only.

StoneLedger does not guarantee that a user will:

• Qualify for a mortgage.
• Receive a particular interest rate.
• Purchase a property.
• Reach a savings target.
• Obtain financing.

Nothing provided through these tools constitutes financial, mortgage, investment, tax, or legal advice.

10. Maintenance Features

StoneLedger may allow renters to submit maintenance requests and landlords, property managers, or maintenance users to receive, assign, update, or close those requests.

StoneLedger provides software used to communicate and track these requests.

Unless expressly agreed otherwise, StoneLedger:

• Does not perform maintenance services.
• Does not employ or supervise maintenance personnel.
• Does not warrant or guarantee repair work.
• Does not guarantee that requests will receive a response within a particular period.
• Does not determine whether a property complies with habitability, safety, building, housing, or other laws.

Users remain responsible for their obligations under applicable leases and law.

11. Electronic Communications and Consent

By creating a StoneLedger account or using the Service, you consent to receive communications from StoneLedger electronically where permitted by law.

These communications may include:

• Account notifications.
• Payment confirmations.
• Maintenance updates.
• Security alerts.
• Changes to these Terms or our Privacy Policy.
• Other notices relating to your use of the Service.

Communications may be provided through email, in-app messages, push notifications, or other electronic methods.

You agree that electronic communications and records may satisfy legal requirements that communications be provided in writing, to the extent permitted by applicable law.

You are responsible for maintaining a current email address and other contact information associated with your account.

You may withdraw consent to certain electronic communications where required by law, although doing so may limit your ability to use features that require electronic communication.

12. Acceptable Use

You may not use StoneLedger to:

• Violate applicable law.
• Commit or facilitate fraud.
• Impersonate another person or organization.
• Submit knowingly false payment, property, lease, maintenance, identity, or other information.
• Attempt unauthorized access to StoneLedger or another user's account.
• Interfere with the security or operation of the Service.
• Upload malicious software or code.
• Abuse payment systems.
• Initiate unauthorized transactions.
• Use information obtained through StoneLedger for unlawful discrimination.
• Infringe another person's intellectual-property, privacy, contractual, or other legal rights.

We may investigate suspected misuse and restrict accounts where reasonably necessary to protect StoneLedger, our users, our service providers, or third parties.

13. User Responsibility and Indemnification

You are responsible for your use of StoneLedger and for information or content you submit through the Service.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Stone Ledger Financial LLC and its members, officers, employees, contractors, and agents from third-party claims, damages, liabilities, losses, judgments, costs, and reasonable attorneys' fees arising from or relating to:

• Your unlawful or fraudulent use of StoneLedger.
• Your material violation of these Terms.
• Information or content you knowingly submit without authorization.
• Your infringement of another person's rights.
• Your violation of applicable law.
• A dispute between you and another StoneLedger user arising from your acts or omissions.

This section does not require you to indemnify StoneLedger for liability resulting solely from StoneLedger's own conduct where such indemnification is prohibited by law.

14. Third-Party Services

StoneLedger relies on third-party providers to provide portions of the Service.

These providers may include:

• Payment processors.
• Banking or financial partners.
• Cloud infrastructure providers.
• Authentication providers.
• Email providers.
• Identity-verification providers.
• Analytics and security providers.
• Other technology vendors.

Your use of certain functionality may be subject to third-party terms and privacy policies.

StoneLedger is not responsible for outages, failures, errors, or actions of independent third-party services outside our reasonable control.

15. Intellectual Property

StoneLedger and its software, trademarks, branding, interfaces, designs, documentation, and other proprietary materials are owned by or licensed to Stone Ledger Financial LLC.

Except as permitted through ordinary use of the Service, you may not reproduce, distribute, modify, reverse engineer, sell, sublicense, or create derivative works from StoneLedger without our permission.

You retain ownership of content you submit to StoneLedger.

You grant Stone Ledger Financial LLC a limited, non-exclusive license to host, store, process, reproduce, transmit, and display that content as reasonably necessary to operate and provide the Service.

16. Privacy

Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy.

Please review the Privacy Policy before using StoneLedger.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STONELEDGER IS PROVIDED “AS IS” AND “AS AVAILABLE.”

STONE LEDGER FINANCIAL LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES THAT MAY OTHERWISE ARISE FROM USE OF THE SERVICE.

We do not guarantee that:

• StoneLedger will always be available or error-free.
• Payments will always process successfully or within a particular period.
• Information entered by users is accurate.
• Maintenance requests will be resolved.
• A renter will make future payments.
• A landlord or other user will perform their obligations.
• Use of StoneLedger will result in mortgage approval, improved credit, financial savings, or another particular outcome.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STONE LEDGER FINANCIAL LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STONE LEDGER FINANCIAL LLC'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID DIRECTLY TO STONE LEDGER FINANCIAL LLC DURING THE 12 MONTHS PRECEDING THE CLAIM; OR

2. $100 USD.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

19. Suspension, Account Closure, and Deletion

We may suspend or terminate access to StoneLedger if we reasonably believe:

• You violated these Terms.
• Your account is being used fraudulently or unlawfully.
• Your activity creates a security, financial, legal, or operational risk.
• Suspension is required by law or by a payment, financial, or technology provider.

You may stop using StoneLedger at any time.

Where available, you may initiate account deletion through StoneLedger's account settings. You may also contact info@stoneledger.io for assistance.

Certain transaction, accounting, legal, fraud-prevention, dispute, or security records may be retained after account closure where reasonably necessary or legally required.

20. Changes to the Service

StoneLedger is an evolving service.

We may add, modify, suspend, or discontinue features from time to time.

We are not obligated to continue offering every feature indefinitely.

Additional terms or disclosures may apply to future features.

21. Changes to These Terms

We may update these Terms as StoneLedger evolves or as required by law.

If we make material changes, we will provide notice through the Service, by email, or another reasonable method.

The date at the top of these Terms identifies the latest version.

Where applicable law requires affirmative consent to a change, we will request that consent.

22. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to these Terms or the Service will be brought in an appropriate state or federal court located in Texas unless the parties agree otherwise or applicable law requires another forum.

23. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

24. Entire Agreement

These Terms, together with any additional terms presented for particular features or transactions, constitute the agreement between you and Stone Ledger Financial LLC regarding use of StoneLedger.
